Terms of Service Agreement

Thanks for your interest in Glean! This Terms of Service Agreement (this "Agreement") is a legally binding agreement governing access to and use of Glean’s Service between you (the “User”, “you”, “your”) and Glean Analytics, Inc., a Delaware corporation (“Glean”, “we”, “our”, “us”). Glean and User may be referred to herein collectively as the "Parties" or individually as a "Party."
As used in this Agreement, "Service" refers to Glean’s vendor management platform and bill payment/payment processing service, as well as our website, any software, programs, documentation, tools, components, and any updates provided to you by Glean. To use the Service, you must agree to all the terms in this Agreement.
By signing an Order Form that incorporates this Agreement or by otherwise accessing or using the Service, you agree to be bound by this Agreement, whether you are a "Visitor" (browsing the glean.ai website), or a "Customer" (registered for an account). You also acknowledge that you have read and understood our Privacy Policy, available at www.glean.ai/privacy.
This Agreement incorporates by reference all policies, notices, and other content that appear on our website at https://www.glean.ai.
The “Effective Date” of this Agreement is the earlier of (a) the date on which you first access or use the Service and (b) the date on which your Order Form is agreed to by Glean.
1. Definitions
- "Aggregated Statistics" means (a) any and all data and information related to your use of the Service that is used by Glean in an aggregate manner that is not reasonably capable of being associated with you; and (b) any data derived from the Customer Data that is not reasonably capable of being associated with you.
- "Customer Data" means information submitted by or on behalf of a User through the Service.
- "Documentation" means user manuals, handbooks, and guides relating to the Service provided by Glean.
- "Glean IP" means the Service, the Documentation, and any intellectual property provided in connection with the foregoing.
- “Payee” means a person to whom money is paid.
- "Process" means to take any action or perform any operation that the Service is capable of taking on any data, including to collect, receive, input, upload, download, and manage.
- "Third-Party Products" means any third-party products incorporated into the Service.
2. Relationship with Glean
- Glean allows individuals and businesses to register. You must be eighteen (18) years of age or older to use the Service. You may open an Account for a business if it is legitimate and you have the authority to enter into this Agreement.
- Each Account must be linked to at least one verified U.S. bank account.
- You must provide accurate information when registering. If we cannot verify the information, we may deny your use of our Service or close your Account.
- Glean may inquire to verify that any and all information you provide to us is accurate.
3. Payment Instruction Facilitation
- Glean is a technology company that facilitates payment instructions and is not a bank or money transmitter. Glean acts as your agent in routing payments to financial partners.
- Glean collects and relays information generated in connection with payments. You authorize Glean to provide this information to FSP to facilitate payments.
- Each of the Networks and FSPs is a third-party beneficiary of this Agreement.
4. Bill Payment Services
- Description of Bill Payment Services: You agree to use the service only to send bill payments on behalf of your business. You need to upload the bill you wish to pay. By using the Bill Payment Services, you authorize Glean to act as your agent.
- Limits On Payees, Payment Amounts And Methods: Glean may limit payment methods available for particular Payees. You grant Glean the right to determine the method to remit funds on your behalf.
- Rejected or Returned Payments: You agree that you will not hold Glean liable for any damages resulting from a Payee not receiving payment. If the payment is not completed for any reason, Glean may provide you with notice.
- Your Liability: You are solely liable for errors you make in using the Bill Payment Services.
- Delays, Unauthorized Transactions, or Errors: Some transactions may take longer to be credited to your account.
- Errors or other Issues Regarding Payments: Review all payment transactions against account statements.
- Protection for Glean Errors: Glean will not be liable for errors not caused by us.
5. Dwolla account
- You must open a "Dwolla Platform" account to use Bill Payment Services.
6. International Payments
Payment services in the United States are provided by Visa Global Services Inc. (VGSI).
7. E-Sign Disclosure and Consent
By accepting this Agreement, you consent to receive electronically all communications related to your Glean Account.
8. Prohibited Activities
You confirm not to accept payments or use the Service in connection with illegal activities.
9. Your Payment Authorization
You authorize our Partners to hold, disburse and settle funds on your behalf.
10. Underwriting and Sharing Information
We may share some or all information about you and your transactions with our partners.
11. Transactions
You agree not to attempt to send payments to any payee other than through Glean.
12. Taxes
You are responsible for determining any taxes required.
13. Termination
You may close your Glean Account at any time, but you will not be eligible for a refund if terminated early.
14. Your Access and Use
Subject to compliance, Glean grants User a non-exclusive right to access and use the Service.
15. User Responsibilities
User is responsible for all uses of the Service.
16. Confidential Information
The Receiving Party will take measures to prevent unauthorized disclosure.
17. Intellectual Property Ownership; Feedback
User acknowledges that Glean owns all intellectual property rights.
18. Warranty Disclaimer
Glean disclaims all representations and warranties.
19. Indemnification
User will indemnify Glean against any loss resulting from breaches of this Agreement.
20. Limitations of Liability
Glean shall not be liable for any special damages.
21. Miscellaneous
- Compliance with Laws. Each Party shall comply with applicable laws.
- Entire Agreement. This Agreement constitutes the sole agreement.
- Force Majeure. Glean will not be liable for delays due to circumstances beyond its control.
- Amendment and Modification. We have the right to change or add to the terms of this Agreement.
- Severability. If any provision is deemed invalid, the rest remains enforceable.
- Governing Law. This Agreement will be governed by New York laws.
- Disputes; Arbitration. Any dispute must be resolved through arbitration.
- Assignment. User will not assign any of their rights without Glean’s consent.
- Export Regulation. User will comply with export control laws.
- US Government Rights. User retains limited rights with respect to the service.
- Interpretation. Section headings are for convenience and not part of the Agreement.
- Survival. Terms necessary to enforce the Agreement shall survive termination.
